Shareholders of Shoprite are referred to the various announcements, the last of which was made on 4 April 2007 concerning the proposal by Maxshell 107 Investments (Proprietary) Limited a subsidiary of Brait IV Partnership ("Brait"), a fund affiliated with Brait South Africa, for the internal re-organisation, in specie distribution, delisting and liquidation of Shoprite ("the Brait proposal").
Pursuant to the lapse of the agreements entered into between Shoprite and Brait in connection with the Brait proposal, representatives of Shoprite and Brait have been unable to agree on revised terms due to the effluxion of time and market and share price movements. Accordingly, Brait and Shoprite have mutually agreed to terminate negotiations. Therefore, the transactions contemplated under the Brait proposal will not proceed.
As a result the cautionary announcement is hereby withdrawn and shareholders no
longer need to exercise caution in dealing in their Shoprite shares.
